Since 2008, Drs. Hugh Grove and Lisa Victoravich of the School of Accountancy, Reiman School of Finance professor Dr. Tracy Xu and newly hired accounting professor Dr. Lorenzo Patelli have researched corporate governance practices in the banking industry and the role of corporate governance in the financial crisis.
The result of that work is being published in a September 2011 special issue of Corporate Governance: An International Review (the issue is focused on the financial crisis). The paper is entitled, “Corporate Governance and Performance in the Wake of the Financial Crisis: Evidence from U.S. Commercial Banks.”
Drs. Grove, Patelli, Victoravich and Xu adopted the structure of a previous study (Larcker, D., Richardson, S., & Tuna, I. 2007. “Corporate governance, accounting outcomes, and organizational performance. The Accounting Review, 82: 963–1008) to measure multiple dimensions of corporate governance for 236 commercial banks, considering a number of variables within five main categories:
- Board structure
- Antitakeover measures
- Ownership structure
- Compensation structure
- Leverage
The professors’ research is also fueling other papers and presentations on topics such as institutional ownership and executive compensation and CEO power, equity incentives and bank risk-taking.

I was an EMBA student of Hugh Grove, graduating in 1982. Most of my career was in banking, primarily in commercial loan and real estate workouts,due diligence on acquisition targets and compliance. So I am doubly interested in this article. Because of my work in credit administration and insights into the banking industry, I was horrified when deregulation occurred and not the least surprised at the outcome.
